# Agreement on Student project cooperation
|
|
|
|
## 1 Project Contract's Parties
|
|
|
|
This project contract is done between Nixu oyj and CyberSquad. Each member of the CyberSquad is oblicated to fulfill duties on their behalf.
|
|
|
|
|
|
|
|
## 2 Subject of the Contract
|
|
|
|
The Agreement is on software Development Project which includes students. The Goals of the project are defined in a separate project plan.
|
|
|
|
|
|
|
|
# 3 Obligations of the contracting parties
|
|
|
|
### 3.1 The Client
|
|
|
|
Nixu Oyj's oblication is to fine down the project plan details together with the team. Nixu oyj may assign to the team a workplace, working enviroment, special gear, softwares or other items/services that are needed to complete the project which are not included in the kit provided to the team from school. Group's responsibilities include letting Nixu Oyj know what kind of information and guidance they require. Group is responsible for managing the project and the scope delivered during the project. Nixu Oyj will provide the Group with the materials it needs and provide it with content guidance and training to achieve the project's goals.

# 4 Parties Rights
|
|
|
|
### 4.1 The Client
|
|
|
|
Nixu gets rights to project outcome and can use it freely. Nixu will have the right, prior to the end of the contract, to inspect and limit the remaining material to the team. A student belonging to a group is entitled to use the Project as a reference. Each project will separately agree on how the student can make use of the outputs of the project in his / her own projects
|

|
|
|
|
|
|
### 4.2 The Student Team
|
|
|
|
The group has the right to use Project as a reference.
|
|
|
|
|
|
|
|
# 5 Immaterial Rights
|
|
|
|
Any inventions, copyright-protected works or other intangible rights protected by other intangible rights are excluded from the Project except for Exceptions in Section 4. If any related inventions are generated during the Project, the Client shall pay the members of the Group a reasonable remuneration; this compensation will be agreed upon separately by written agreement between the Group and the Client.

|
|
# 6 Rights to the material
|
|
|
|
Ownership, copyrights and other rights of the project material are transferred to the Client in the manner specified in Section 4 when the Project is over. The equipment, software and other equipment acquired for the project is acquired by the party that has acquired the contract.
|
|
|
|
|
|
|
|
# 7 Payments and payment schedule
|
|
|
|
Payments and their schedule are agreed upon separately.
|
|
|
|
|
|
|
|
# 8 Making Changes on contract
|
|
|
|
|
|
|
|
This Agreement may only be amended by written agreement, which shall be signed by all parties to the Agreement.
|
|
|
|
|
|
|
|
# 9 Reporting
|
|
|
|
The group reports on the progress of the Project to Nixu Oyj in accordance with the project plan.
|
|
|
|
|
|
|
|
# 10 Warranty and maintenance
|
|
|
|
The group will not give the results a guarantee and will not be bound to maintain results in any way unless they are specifically agreed upon. Instead, errors found during the project are corrected if the resources specified for the project allow it.
|
|
|
|
|
|
|
|
# 11 Injury compensation, responsibility and discussion of differences
|
|
|
|
Use of the project results is the responsibility of the Client. The parties to the agreement are not responsible for any indirect damages to each other. Any potential damages to third party parties to the contract are independent. Disputes arising from the interpretation of the agreement are primarily resolved by negotiation. If this is not the case, the Contracts conflict will be dealt with in District Court.

|
|
# 12 Confidentality and non-disclosure agreement
|
|
|
|
The Contracting parties undertake to keep confidential information in such a way as it is agreed on the non disclosure agreement. The parties to the agreement take care that their employees, as well as any potential subcontractors or partners, confidentially keep confidential information.
|
|
|
|
|
|
|
|
# 13 Giving statements
|
|
|
|
The Client (nixu oyj) has no right to give a statement to a third party of a single student during the project without a persmission from the specified student.
|
|
|
|
|
|
|
|
# 14 Rewarding and hiring
|
|
|
|
The client may hire a member/members of the group after the project is done. The Client may choose to reward the group at the end of the project. During the project there is no restriction on conventional hospitality.
|
|
|
|
|
|
|
|
# 15 Ending the contract
|
|
|
|
The contract ends when the student group project ends. The contract may be terminated earlier by written agreement of the parties to the Agreement if the continuation of the Project proves to be inappropriate. In the event of termination of the contract, the parties to the Agreement shall not be liable for damages to each other and the obligation to repay the costs incurred.

|
|
|
|
|
|
# 16 Date of signing
|
|
|
|
This Agreement shall enter into force upon signature by all Parties to the Agreement. There are two copies of the agreement, one for each party.
